Welcome to SALB HRM (also referred to as “we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of the website at https://www.salbhrm.co.za/ (the “Website”) and any services, features, content or applications we offer (collectively, the “Services”). By using or accessing the Website or Services, you agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein.
If you do not wish to be bound by these Terms, you may not access or use the Website or Services.
1. Definitions
- User, you, your: any person or entity accessing or using the Website or Services.
- Client: a user who engages SALB HRM for HR consulting, outsourcing, training, recruitment or related services.
- Content: text, data, graphics, images, audio, video, software, or other materials appearing on or in the Website or Services.
- Intellectual Property Rights: all rights in and to copyrights, trademarks, service marks, trade names, patents, design rights, trade secrets, confidential information, and any corresponding rights (whether registered or not) under applicable law.
2. Use of the Website and Services
- Permitted Use
You may use the Website and Services only for lawful purposes, and in compliance with all applicable laws (including South African laws). You must not use the Website or Services to:- infringe the rights of others (intellectual property, privacy, etc.);
- post or transmit any unlawful, threatening, defamatory, obscene, or otherwise objectionable material;
- disrupt, interfere with, or damage the Website or its infrastructure;
- attempt to gain unauthorised access to any portion of the Website or associated systems.
- Registration & Accounts
Some parts of the Website or Services may require you to register for an account. When registering, you agree to:- provide current, complete, and accurate information;
- maintain the confidentiality of your account credentials;
- notify us promptly of any unauthorised use of your account or any breach of security.
You are solely responsible for all activities that occur under your account.
- Modifications and Suspension
We reserve the right, at our discretion, to modify, suspend or discontinue, temporarily or permanently, the Website or Services (or any part thereof) with or without notice. We will not be liable to you or any third party for any modification, suspension or discontinuation.
3. Client Services, Deliverables & Engagements
- Service Agreement
Use of certain Services (such as HR consulting, outsourcing, training, or recruitment) may require a separate service agreement or contract between you (Client) and SALB HRM (a “Service Agreement”). The terms of that Service Agreement will govern that specific engagement, including deliverables, fees, timelines, responsibilities, termination, etc. - No Guarantees / Disclaimer
While we aim to deliver services with professionalism and in accordance with best practices, we do not guarantee specific outcomes (e.g. a hire, revenue increase, compliance result). We disclaim, to the fullest extent permitted by law, any implied warranties or guarantees regarding results. - Client Obligations
To enable us to provide the services, you agree to:- furnish timely, accurate, and complete information, data, documents, and access as reasonably required by us;
- cooperate in good faith and respond to queries or requests;
- comply with applicable laws and regulations in your jurisdiction.
- Third-Party Tools / Services
We may rely on or integrate third-party software, platforms or services in providing the Services. Your use of such third-party tools may be subject to additional terms or licenses. We are not responsible for the availability, performance, or security of those third-party services.
4. Intellectual Property
- Ownership
All intellectual property rights in the Website, the Services, and the Content (excluding content you provide) remain with SALB HRM or its licensors. You acquire no rights, title or interest in the Website, Services or Content except as expressly granted in these Terms or in a Service Agreement. - Limited License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Services for your internal business purposes. - Your Content
If you submit or upload content (e.g. documents, data, feedback) to the Services, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, adapt, display, and distribute that content for the purposes of providing the Services, improving our offerings, and marketing (unless restricted by agreement). You warrant that you own or have the right to grant those rights, and that such content does not infringe third-party rights. - Reservation of Rights
Except for the licenses expressly granted herein, we reserve all rights not expressly granted to you.
5. Fees, Billing & Payment (if applicable)
- Fees
Where applicable, you agree to pay the fees stated in the Service Agreement or on the Website for the Services you receive. All fees are in South African Rand (ZAR) unless otherwise specified. - Payment Terms
Payment terms (due dates, frequency, method) will be set out in the Service Agreement or invoice. We may suspend Services for non-payment or late payment in accordance with the Service Agreement. - Taxes
You are responsible for any taxes, duties or other governmental charges imposed by applicable law in connection with the Services (excluding taxes on our net income). - Refunds & Cancellations
Cancellation, refund or termination policies will be as set out in your Service Agreement. Unless otherwise stated, fees paid are non-refundable.
6. Disclaimers, Limitation of Liability & Indemnity
- No Warranty
The Website and Services are provided “as is” and “as available,” without warranty of any kind, whether express, implied or statutory, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement and title. - Limitation of Liability
To the maximum extent allowed by law, SALB HRM (and its officers, employees, agents, licensors) will not be liable for:- indirect, incidental, special, consequential or punitive damages;
- loss of profits, revenue, data or business opportunities;
- any damages arising out of or in connection with use or inability to use the Website or Services.
Our total aggregate liability (whether in contract, tort, negligence or otherwise) in relation to any engagement or use of the Website or Services will not exceed the total fees paid by you for the Services under the relevant Service Agreement.
- Indemnification
You agree to indemnify, defend and hold harmless SALB HRM, its directors, officers, employees, agents and licensors from and against all losses, damages, liabilities, claims, costs and expenses (including legal fees) arising from or relating to:- your negligence, willful misconduct or breach of these Terms;
- your violation of any third-party rights (intellectual property rights, privacy, etc.);
- your use of the Website or Services in violation of applicable law.
- Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Terms or a Service Agreement if prevented by causes beyond its reasonable control (e.g. acts of God, war, riot, government action, technical failure, pandemic, strikes).
7. Confidentiality & Data Protection
- Confidential Information
Each party may receive confidential or proprietary information from the other (e.g. business methods, strategies, employee data). Each party agrees to maintain such information in strict confidence and not disclose it except to permitted persons or as required by law. - Data Protection & Privacy
We will process personal data in accordance with our Privacy Policy and applicable data protection laws (including South Africa’s Protection of Personal Information Act – POPIA). You consent to the collection, use, disclosure and processing of personal data as described in our Privacy Policy. - Security
We employ reasonable technical, administrative, and organizational safeguards to protect data. However, no system is fully secure. We cannot guarantee absolute security. In the event of a data breach, we will act in accordance with applicable law to notify affected individuals and authorities as required.
8. Termination
- Termination by You or Us
You may stop using the Website and Services at any time. We may terminate or suspend your access for any reason, including breach of these Terms, without liability to you. - Effect of Termination
Upon termination:- your right to use the Website and Services ceases immediately;
- you must cease all use and destroy any copies of materials from the Website;
- any accrued rights, obligations or liabilities survive (e.g. payments owed, confidentiality, indemnity, limitation of liability, intellectual property, etc.).
9. Links & Third-Party Sites
The Website may contain links to third-party websites or services. These links are for your convenience only. We do not control, endorse, guarantee, or assume responsibility for third-party sites, their content, privacy policies, or practices. Accessing them is at your own risk.
10. Notices & Communications
We may provide notices or communications via email, posted on the Website, or other means. You agree that such communications satisfy any legal requirement for written notice.

11. General Provisions
- Governing Law & Jurisdiction
These Terms (and any Service Agreement) are governed by the laws of South Africa. You agree to submit to the exclusive jurisdiction of the courts of South Africa. - Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect. - Entire Agreement
These Terms (along with any Service Agreement and referenced policies) constitute the entire agreement between you and SALB HRM regarding your use of the Website and Services, superseding any prior or contemporaneous agreements. - Waiver
No failure or delay by us in exercising any right under these Terms shall operate as a waiver of such right, nor shall any single or partial exercise of any right preclude further exercise. - Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer in whole or in part our rights or obligations at any time.
